By paying AbbeyTech IT Ltd for any services you automatically accept these Terms and Conditions.
Definitions
The Client: The company or individual requesting the services of AbbeyTech IT Ltd
AbbeyTech IT Ltd: Any employee of AbbeyTech IT Ltd and/or any contractor employed by them to provide client services on their behalf.
General
These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. AbbeyTech IT Ltd reserves the right to change any of the Terms and Conditions at any time and without prior notice.
AbbeyTech IT Ltd makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies unless otherwise specified.
AbbeyTech IT Ltd will not be held responsible for any damages resulting from products and/or services it supplies.
AbbeyTech IT Ltd is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure.
The customer agrees not to hold AbbeyTech IT Ltd responsible for any such loss or damage. Any claim against AbbeyTech IT Ltd shall be limited to the relevant fee(s) paid by the customer.
Whilst every effort will be made to ensure that the clients website is free of errors, AbbeyTech IT Ltd cannot be held responsible for any losses incurred due to malfunction of the website or any part of it.
AbbeyTech IT Ltd cannot be held responsible for any copyright infringements caused by materials submitted by the client. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
The client agrees to make available as soon as is reasonably possible to AbbeyTech IT Ltd all materials required to complete the website to the agreed standard and within the set deadline.
AbbeyTech IT Ltd will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
AbbeyTech IT Ltd will not be liable or become involved in any disputes between the site owner and their clients and cannot be held responsible for any wrongdoing on the part of a site owner. eg. Any disputes regarding content or images that have been provided to us for inclusion on the site.
AbbeyTech IT Ltd will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.
Copyright to Web Pages
Copyright to the assembled work of website pages produced by AbbeyTech IT Ltd is owned by AbbeyTech IT Ltd. Upon final payment of this contract, all rights owned by AbbeyTech IT Ltd as to the design, graphics, and text in this website are assigned to the Client. Rights to photos, graphics, and programs which were not owned by AbbeyTech IT Ltd are limited to the Client’s use only and the products themselves remain the property of their respective owners.
Design Credits
The Client agrees to allow AbbeyTech IT Ltd to place a small credit on their own site and on the customer’s website. This will usually be in the form of a small logo or line of text placed towards the bottom of a page.
The Client agrees to allow AbbeyTech IT Ltd to place websites and other designs, along with a link to the client’s site on their own website for demonstration purposes and to use any designs in its own publicity.
Alterations
The client agrees that work required over and above the agreed work or required to be carried out after acceptance of the draft design may be liable to a separate fee.
The Client agrees that AbbeyTech IT Ltd holds no responsibility for any amendments made by any third party, before or after a design is published.
Search Engine Submission
Due to the infinite number of considerations that search engines use when determining a site’s ranking, AbbeyTech IT Ltd cannot guarantee any specific placement. Acceptance by any search engine cannot be guaranteed and when a site is accepted, the time it takes to appear in search results varies from one search engine to another. Rankings will also vary as new sites are added.
AbbeyTech IT Ltd will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of client’s email accounts provided by its agents. AbbeyTech IT Ltd do not provide backup of email accounts and it is the responsibility of the client to perform regular backups of their email accounts.
Data Backup
AbbeyTech IT Ltd do not provide backup of website files, databases or email accounts and it is the responsibility of the client to perform regular backups of these services. AbbeyTech IT Ltd can offer advice and solutions for backup of these services if requested by the client.
Termination of Contract
Either party may terminate this Agreement by giving 30 days written notice to the other of such termination. In the event that work is postponed or terminated at the request of the Client, AbbeyTech IT Ltd shall have the right to bill pro rata for work completed through the date of that request, while reserving all rights under this Agreement. If additional payment is due, this shall be payable within thirty days of the Client’s written notification to stop work. In the event of termination, the Client shall also pay any expenses incurred by AbbeyTech IT Ltd and the AbbeyTech IT Ltd shall own all rights to the Work. The Client shall assume responsibility for all collection of legal fees necessitated by default in payment.
The Client and AbbeyTech IT Ltd are independent parties and nothing in this Agreement shall constitute either party as the employer, principal or partner of or joint venture with the other party. Neither the Client nor Consultant has any authority to assume or create any obligation or liability, either express or implied, on behalf of the other.
Payments
Completion of Work
On completion of agreed work, any balance will become due immediately. No project will become ‘live’ until full cleared payment is received.
Renewal of Services
Payments for annual or monthly renewal of services including Website and/or email hosting, Domain Name(s) and Email Accounts are collected using Direct Debit via payment provider GoCardless. A completed Direct Debit Authorisation must be completed by the client in order for services to be renewed.
If a completed Direct Debit Authorisation is not completed when requested all services will be set to lapse at their next renewal. No backup of data including Website and Email Account will be made. The client will be responsible for performing a back of their files before the due date.
Once services are lapsed this formally ends the contract between the client and AbbeyTech IT Ltd and any agreed services, contracts and warranties of any will end.
If the client requests their services to be re-instated following cancellation of previous services and only if this is possible, an administration fee will apply. This fee will be dependent on the complexity of the work involved in re-instating the previous services. The fee is currently a minimum of £35.00.
AbbeyTech IT Ltd reserves the right to refuse to reinstate any services following their lapse date at its own discretion.
Missed Payments
If any regular payments are missed and remain unpaid beyond their due date, AbbeyTech IT Ltd reserve the right to cancel any other related services we provide until the outstanding payments have been cleared.
This includes Domain Names, Website Hosting, Email Accounts and SSL Certificates.
